1. About these terms

These terms apply to the website design and management services provided by Kervaana Digital ("Kervaana", "we", "us"). They form part of the agreement between us and you, the client. Full trading entity and business registration details are provided in writing as part of your service agreement.

2. Our services

Kervaana designs, builds, hosts and manages a professional website for your business, and continues to look after it for as long as your plan is active. The service includes design and build, hosting, SSL, ongoing management, included monthly updates, basic SEO maintenance, performance reporting and support.

3. Fees and plans

• A one-off setup fee of £299.
• 12-month plan: £99 per month with a 12-month minimum commitment.
• Flexible plan: £129 per month with a 3-month minimum commitment.
• Both plans include the same website and the same core managed service. The difference is commitment and flexibility, not service quality.
• After the minimum term, plans continue on a monthly rolling basis at the same price until cancelled.

4. Payments

The setup fee is payable before the build begins unless otherwise agreed. Monthly fees are payable in advance by the agreed payment method. If a payment fails, we will contact you; continued non-payment may result in the website being suspended until the account is brought up to date.

5. Website build process

Following onboarding, we design and build your website, share it for review and make agreed amendments before launch. Timescales depend on how quickly we receive your information, images and feedback.

6. Your responsibilities

• Provide accurate business, service and contact information.
• Only supply content, images, logos and reviews that you own or have the right to use. You confirm that supplied material does not infringe third-party rights.
• Provide feedback and approvals within reasonable timescales.

7. Domains

Your domain name remains yours. If you already have a domain we connect it to your new website. If you need one, we will guide you through registering it in your own name. Domain registration and renewal fees charged by the registrar are not included in your plan unless agreed in writing.

8. Hosting and website management

Hosting, SSL and ongoing management are included for as long as your plan is active. We maintain the website, apply routine improvements and keep it running on our managed infrastructure.

9. Included monthly updates

Your plan includes up to 60 minutes of website updates each month. Reasonable updates include adding or editing text, adding project photographs and galleries, adding customer reviews, updating services, updating contact details and small layout adjustments. Unused time does not roll over into the following month.

10. Additional work

Work beyond the included allowance — for example major redesigns, additional pages beyond your plan, e-commerce, booking systems, advanced functionality, paid advertising or advanced SEO campaigns — is quoted separately and only started once agreed.

11. Cancellation

You may cancel at any time after your minimum term by giving 30 days' written notice using the contact details on our contact page (07712 097583). Fees already paid are not refundable. Cancelling ends the managed service, including hosting and management, at the end of the notice period.

12. Intellectual property

Any logos, photographs, written content, branding, videos, testimonials or other materials supplied by you remain your property, or the property of the relevant rights holder.

By supplying these materials to Kervaana Digital, you confirm that you own them or have permission to use them and give Kervaana Digital permission to use them for the purpose of designing, hosting and managing your website.

The website design, layout, code, components, templates and other materials created by Kervaana Digital remain part of the Kervaana managed website service while your plan is active, unless ownership is transferred in accordance with Section 13.

Any third-party software, fonts, plugins, integrations, hosting services or licensed assets remain subject to the terms and licences of their respective providers.

13. Website ownership and transfer

Your domain name and any original content, photographs, logos, branding and other materials supplied by you remain yours at all times.

Kervaana Digital manages the website, its design and underlying build as part of your active managed website service.

12-Month Plan

If you have completed the full 12-month minimum term on the £99 per month plan and all outstanding payments have been made, you may request transfer of the website to you or another provider.

Kervaana Digital will not charge an additional website buyout fee following completion of the 12-month minimum term.

Transfer is subject to what is technically possible using the website platform, hosting infrastructure and any third-party services or licences used to operate the website.

Where a direct transfer or export is technically available, Kervaana Digital will provide reasonable assistance with the transfer.

Any costs charged by third-party providers, registrars, hosting companies, developers or other services involved in moving or rebuilding the website are not included unless agreed separately.

Flexible Plan

Customers using the £129 per month Flexible Plan may cancel after completing the 3-month minimum commitment in accordance with the cancellation terms.

If you wish to take ownership of and transfer the website when leaving the Flexible Plan, a website transfer/buyout fee of:

will apply.

The transfer/buyout fee must be paid in full together with any outstanding account balance before transfer work begins.

Following payment, Kervaana Digital will provide the website for transfer where technically possible and subject to third-party platform and licence restrictions.

If you cancel the Flexible Plan and choose not to purchase the website, the managed website service, hosting and website access provided by Kervaana Digital will end when your service terminates.

Your domain name and your own supplied content remain yours regardless of whether you purchase the website.

General Transfer Terms

Website transfers may require reasonable processing time.

Kervaana Digital cannot guarantee that every feature, integration, animation, form, hosting configuration or third-party service can be transferred unchanged to another provider.

Where a feature relies on Kervaana's hosting environment or a third-party service, an alternative may need to be configured by the receiving provider.

Kervaana Digital will not deliberately withhold a customer's domain name or customer-owned content because a managed website subscription has ended.

All outstanding invoices and contractual payments must be settled before any website transfer is completed.

14. Third-party services

Your website may rely on third-party services such as hosting infrastructure, domain registrars, analytics and search tools. Those services are governed by their own terms and we are not responsible for their availability or changes to them.

15. Service availability

We work to keep your website available at all times but cannot guarantee uninterrupted access. Occasional downtime may occur due to maintenance or issues affecting third-party infrastructure.

16. Results and expectations

We build websites with sound structure, sensible on-page SEO and clear enquiry paths. We do not guarantee search engine rankings, traffic levels, enquiry volumes or sales.

17. Liability

Our total liability in connection with the service is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect or consequential losses, including lost profits or lost business. Nothing in these terms limits liability that cannot be limited by law.

18. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
